The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: “Client”, “You” and “Your” refers to you, the person accessing this website and accepting the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Company. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law of Switzerland. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.
The goal of ClimatePlace is to connect project developers (“Developer(s)”) and investors (“Investor(s)”) around low carbon and climate resilience projects (“the Project(s)”). Although the ClimatePlace team will conduct an initial review of each transaction, Investors and Developers are required to conduct their own due diligence. ClimatePlace offers no reliance on the documents and information provided by either Investors or Developers. Investors are also aware of the risky nature of such Projects and do not hold ClimatePlace responsible for any loss incurred from such investments.
Investors and Developers hereby agree that all decisions to invest in each Project shall be made at the sole discretion of the Investor and Developer. ClimatePlace shall have no authority to act on behalf of, or bind, or make representations with the Investor or Developer. The Investor and Developer hereby acknowledge and agree that ClimatePlace is not responsible for negotiating the terms of sale or investment for any party involved.
The Investor hereby agrees to keep confidential the existence of each Project and the identities of all related parties to such Projects, unless expressly authorized by ClimatePlace.
By using this Platform, the Investors hereby certify that they are authorized to invest in any Project that they pursue. The Investors and Developers agree to truthfully represent themselves and the interest they have in a transaction, including
– Intermediaries shall disclose themselves as such
– Investors shall have the means to invest in the projects that they are considering
– Developers shall have the rights to the projects they represent
– Investors and Developers should not contact other parties to conduct the ClimatePlace transaction for which they have been approved, and not with any unrelated commercial or other intention.
ClimatePlace may at any time with immediate effect and without liability block, suspend, or limit a Developer or Investor’s access to the Platform at its sole discretion.
To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our Platform and the use of this Platform (including, without limitation, any warranties implied by law in respect of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill). Nothing in this disclaimer will:
- limit or exclude our or your liability for death or personal injury resulting from negligence;
- limit or exclude our or your liability for fraud or fraudulent misrepresentation;
- limit any of our or your liabilities in any way that is not permitted under applicable law; or
- exclude any of our or your liabilities that may not be excluded under applicable law.
The limitations and exclusions of liability set out in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer or in relation to the subject matter of this disclaimer, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.
ClimatePlace’s liability shall in any case be limited to the fee received on a given transaction.
All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.”
Unless otherwise stated, ClimatePlace and/or it’s licensors own the intellectual property rights for all material on ClimatePlace All intellectual property rights are reserved.
